1. Scope

These Terms and Conditions apply to all contracts and services provided by SBAU Construction (hereafter “Contractor”) to clients (hereafter “Client”) in the context of construction, renovation, and related services.

2. Conclusion of Contract

A contract is deemed concluded when:

• The Client accepts a written offer from SBAU Construction (via email or signature),
• Or a written agreement or confirmation is signed by both parties.

Estimates provided are non-binding until confirmed in writing.

3. Services Provided

SBAU Construction undertakes various construction, renovation, and repair services, including internal and external works, based on the agreed scope detailed in the offer or contract.

Changes to the scope must be agreed upon in writing and may affect deadlines and pricing.

4. Pricing & Payment

• All prices are in Euro (€) and, unless otherwise stated, are exclusive of VAT.
• Invoices are payable within 14 days of issue, unless otherwise agreed.
• A deposit or staged payments may be required for larger projects.

Late payment may incur reminder fees and interest according to §288 BGB (German Civil Code).

5. Obligations of the Client

The Client must:

• Ensure access to the property/site for the agreed duration.
• Provide necessary approvals, permits, and information on site conditions.
• Notify the Contractor of any issues that could affect the work.

Delays caused by the Client may result in additional charges.

6. Deadlines & Delays

Execution timelines are estimates unless otherwise guaranteed in writing. Delays due to weather, material shortages, or third-party faults do not constitute grounds for liability.

SBAU Construction will inform the Client of foreseeable delays as soon as possible.

7. Warranty & Defects

• Work is guaranteed in accordance with German law (§§ 634 ff. BGB).
• Obvious defects must be reported in writing within 7 days of discovery.
• The Contractor has the right to rectify defects before further claims are made.

8. Liability

The Contractor is liable only for damages caused by intent or gross negligence. Liability for indirect or consequential damages is excluded to the extent permitted by law.

9. Termination

Both parties may terminate the contract in accordance with §648 BGB. In such a case, services already rendered must be paid for, and partial compensation may apply depending on the project stage.

10. Final Provisions

• These Terms and Conditions are governed by German law.
• If any provision is deemed invalid, the remaining terms remain in effect.
• Place of jurisdiction is Erkrath, Germany, unless another is required by law.
